This End-User License Agreement and Terms of Use (“Agreement”) is between you (“you” or “User”) and Big Muddy Genetics LLC (“Big Muddy Genetics,” “we,” “us,” or “our”) and governs your use of the website bigmuddygenetics.com and our QuickBooks-connected ordering and invoicing process (together, the “Service”).
By accessing the Site, placing an order, or paying an invoice, you agree to this Agreement. If you do not agree, do not use the Service.
1. Eligibility
You must be of legal age in your jurisdiction and meet the age requirement enforced by our age gate. You represent that the information you provide is accurate and that you are authorized to use the payment method you use to pay your invoice.
2. The Service
When you place an order, we collect your name, contact address, email, and order total, and use the QuickBooks API to generate an invoice. QuickBooks emails you the invoice with a secure link to pay. We do not collect or store payment card details on our Site — payments are processed by Intuit / QuickBooks Payments under Intuit’s terms.
3. License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own lawful, personal or business purchases. You may not copy, modify, distribute, reverse engineer, scrape, or interfere with the Service or attempt to gain unauthorized access.
4. Orders, invoices, and payment
- Orders are offers to purchase and are not accepted until we issue an invoice and/or confirm.
- Invoices are payable through the QuickBooks-hosted payment link. Payment processing is provided by Intuit and subject to Intuit’s terms and any applicable processing fees or taxes shown.
- We may refuse, cancel, or limit any order at our discretion (e.g., suspected fraud, errors, unavailability, or legal restrictions).
- Title and fulfillment occur after payment is received and cleared.
5. Acceptable use
You agree not to use the Service for any unlawful purpose, to violate any applicable law or regulation (including those governing the products offered), or to infringe the rights of others.
6. Intellectual property
The Site and its content (text, graphics, logos, and artwork) are owned by Big Muddy Genetics or its licensors and are protected by law. No rights are granted except the limited license in Section 3.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIG MUDDY GENETICS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM.
9. Third-party services
The Service relies on third parties, including Intuit / QuickBooks for invoicing and payment. Your use of those services is also governed by their terms and privacy policies. We are not responsible for third-party services.
10. Termination
We may suspend or terminate your access to the Service at any time for any reason, including violation of this Agreement.
11. Governing law
This Agreement is governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in St. Clair County, Illinois.
12. Changes
We may update this Agreement from time to time. Changes are effective when posted here. Your continued use of the Service after changes are posted constitutes acceptance.
